How to Form a US LLC from Pakistan: State, EIN, Banking and Compliance
This is general information, not legal, tax, financial, medical or security advice. Rules and prices change, so confirm details with the official sources linked below or a qualified professional.
You can form a US LLC from Pakistan entirely online: choose a state, appoint a registered agent there, file Articles of Organization, then get an EIN from the IRS by fax or phone. Formation is the easy part. The decisions that matter are which payment and banking providers will accept a Pakistan-resident owner, and whether you can keep up with the annual IRS Form 5472 filing.
This is general information, not legal/tax/financial advice. Rules and provider policies change; confirm with a qualified advisor before you act.
Key takeaways
- State filing fees are small (as of October 2026): New Mexico $50, Wyoming $100, Delaware $110. The yearly costs differ much more than the setup costs.
- You get an EIN without an SSN by faxing Form SS-4 or calling the IRS international line (267-941-1099). The online EIN tool is not open to applicants without a US address.
- US-formed LLCs no longer file BOI reports with FinCEN (final rule effective August 14, 2026).
- Mercury and Wise USD account details are not available to Pakistan residents as of October 2026. Plan banking before you form.
- A foreign-owned single-member LLC must file Form 5472 with a pro forma Form 1120 every year. Missing it carries a $25,000 IRS penalty.
First, decide whether you actually need a US LLC
An LLC is a legal wrapper, not a payment account. It makes sense when a US entity is what unlocks something you need:
- US clients or platforms that want to contract with a US company (some enterprise procurement teams prefer it).
- Payment processors that only support US businesses for your situation. Stripe does not list Pakistan as a supported country (see Stripe options for non-US founders).
- Selling a SaaS or digital product where you need card payments, subscriptions and US-dollar settlement.
If you're a freelancer billing a few clients, an LLC may add cost and filings without solving much. Pakistani banks can already receive your export proceeds into a freelancer account, and the SBP lets you keep part of them in dollars (see how to receive international payments in Pakistan). Step-by-step: forming the LLC
1. Choose your state
Most non-resident founders choose between Wyoming, New Mexico and Delaware. You don't have to form where your customers are, but if you physically operate in a particular state you may need to register there too.
| State | Formation fee | Recurring state cost | Annual filing |
|---|---|---|---|
| New Mexico | $50 | None for the report | No annual report |
| Wyoming | $100 | $60 minimum license tax (or $0.0002 per dollar of Wyoming assets, if higher) | Annual report due the first day of your anniversary month |
| Delaware | $110 | $400 annual LLC tax, due June 1 | No report, but the tax is mandatory |
Fees as of October 2026, from the Wyoming fee schedule (effective July 1, 2026), the Delaware fee schedule (revised August 1, 2026) and New Mexico statute §53-19-63. The full trade-offs are in Wyoming vs Delaware vs New Mexico.
2. Appoint a registered agent
Every state requires a registered agent: a person or company with a physical address in the state who accepts legal papers for your LLC. Wyoming's rules say the agent must have a physical Wyoming street address, and a drop box isn't acceptable. Since you live in Pakistan, you'll hire a commercial agent. Read registered agent explained before you pick one. Some agents bundle a mailing address, and some don't.
3. File Articles of Organization (Certificate of Formation in Delaware)
You can file online through the state portal yourself, or have the agent file for you. You'll need:
- The LLC name, including "LLC" or an allowed variant
- The registered agent's name and address
- An organizer's name, and in some states a mailing address and email
- Whether the LLC is member-managed or manager-managed
Wyoming makes everything you type into the filing public, so think about which address you put on it.
4. Sign an operating agreement
Most states don't make you file it, but banks and payment providers often ask for one. For a single-member LLC it confirms that you own 100% and can act for the company. Keep a signed PDF.
5. Get an EIN
As a non-resident you can't use the IRS online EIN application, because it requires the responsible party to have an SSN, ITIN or EIN and a US location. Under the IRS Form SS-4 instructions (revised December 2025), your options are:
- Phone: international applicants can call 267-941-1099 (not toll-free), 6 a.m. to 11 p.m. Eastern, Monday to Friday.
- Fax: 304-707-9471 from outside the US. The EIN usually comes back by fax within about 4 business days.
- Mail: about 4 weeks.
On line 7b, write "foreign" if you don't have and can't get an SSN or ITIN. For a single-member LLC owned by a foreign person, the IRS asks you to tick "Other" on line 9a and write "Foreign-owned U.S. disregarded entity-Form 5472". There's a field-by-field guide in how to get an EIN without an SSN.
6. Skip the BOI report (if your LLC is US-formed)
FinCEN's final rule, issued August 11, 2026 and effective August 14, 2026, permanently exempts entities created in the United States from beneficial ownership reporting. The only reporting companies left are entities formed under a foreign country's law that have registered to do business in a US state. FinCEN also warns about scam letters that reference a "Form 4022" or "Form 5102" and ask for payment. Those forms don't exist.
Banking and payments: the real bottleneck for Pakistan residents
This is where many guides are out of date. As of October 2026:
- Mercury lists Pakistan on its prohibited-countries page. The rule goes by your country of residence, not your citizenship, so a US LLC doesn't change it.
- Wise says you can't get USD account details if your address is in Pakistan (the list also includes the UAE, Bangladesh, Sri Lanka and Türkiye). For Wise Business, USD details are unavailable if the US business has a Pakistan address or if your personal profile does.
- Payoneer offers "receiving accounts" that work like local bank details in USD and other currencies. Receiving in a currency other than your primary location's local currency costs a fixed fee or 1%, depending on the amount (Payoneer fee page, last updated April 1, 2025; your account may show different fees).
- Stripe Atlas forms Delaware companies only, and its docs say approval for Stripe payments isn't guaranteed.
Compare what is actually open to you in best US business bank accounts for non-residents. Apply before you depend on a provider, and keep a fallback.
From experience: When we set up a Florida LLC for a logistics venture, forming the company took days. Getting the EIN letter, bank and payment rails lined up took far longer. Plan the banking path before you pay any formation fee.
Annual compliance you can't skip
IRS: Form 5472 with a pro forma Form 1120
A single-member LLC owned by a foreign person is treated as a corporation for this reporting rule. Every year it must file a pro forma Form 1120 with Form 5472 attached, even with no US income. The deadline is the Form 1120 due date: the 15th day of the 4th month after your tax year ends, which is April 15 for a calendar year. You can't e-file it. You fax it to 855-887-7737 or mail it to the IRS's dedicated Ogden address. The penalty for not filing is $25,000. Full walkthrough: Form 5472 for foreign owners.
State
- Wyoming: annual report and license tax, due the first day of your anniversary month. If it isn't paid within 60 days of the due date, the state may dissolve the entity.
- Delaware: $400 tax by June 1. If you pay late, you owe a $200 penalty plus 1.5% interest per month.
- New Mexico: no annual report, but you must keep your registered agent current.
Pakistan
Owning a US LLC doesn't take you out of the Pakistani tax system. How the income is taxed depends on how money reaches you: as LLC distributions, as service fees routed through a bank, or otherwise. FBR rates on export of services differ depending on whether you're registered with the Pakistan Software Export Board (0.25%) or not (1%) under section 154A (as of the FBR rate card updated to June 30, 2026). See the freelancer tax guide for Pakistan and speak to a Pakistani tax practitioner about your structure.
Common mistakes
- Using the registered agent's address as your business address. Mercury explicitly rejects registered agent addresses, P.O. boxes and UPS Store addresses as a principal place of business.
- Applying for an EIN twice. The IRS limits EIN issuance to one per responsible party per day. Duplicate applications cause tangled records.
- Forgetting Form 5472 in a "zero-income" year. Money you put into the LLC and take out counts as a reportable transaction in Part V.
- Picking Delaware only because of startup hype. If you won't raise venture capital, the $400 yearly tax is often an unnecessary cost.
- Ignoring responsible-party changes. If ownership or control changes, file Form 8822-B within 60 days.

Frequently asked questions
Can a Pakistani citizen living in Pakistan own a US LLC?
Yes. US states let foreign individuals form and own LLCs without a visa, SSN or US address. You need a registered agent with a physical address in the state you choose, and the LLC gets its tax ID (EIN) from the IRS by fax, mail or the international phone line. The harder part is banking and payments, because several US fintechs restrict accounts by the owner's country of residence.
Which state is cheapest for a US LLC formed from Pakistan?
On state fees alone, New Mexico is cheapest: $50 to file Articles of Organization and no annual report. Wyoming charges $100 to form and a $60 minimum annual report license tax. Delaware charges $110 to form and a $400 annual LLC tax due June 1 (as of October 2026). Registered agent fees come on top in every state.
Do I need to file a BOI report for my US LLC?
Not if the LLC was formed in the United States. FinCEN's final rule, effective August 14, 2026, made permanent the exemption for all US-created companies. BOI reporting now applies only to entities formed under foreign law that registered to do business in a US state. Ignore paid 'BOI filing' letters; FinCEN does not charge to file.
Can I open a Mercury or Wise USD account from Pakistan?
As of October 2026, no. Mercury lists Pakistan on its prohibited-countries list, which goes by where you live, not your passport. Wise's help centre says you can't get USD account details with a Pakistan address, and a Wise Business account can't get USD details if the US business or your personal profile has a Pakistan address. Check both pages before applying, as lists change.
What yearly filings does a Pakistani-owned single-member LLC have?
At minimum: the state's annual report or tax (if any), keeping a registered agent, and an IRS pro forma Form 1120 with Form 5472 attached, due by the 15th day of the 4th month after year-end (April 15 for calendar years). The IRS penalty for not filing Form 5472 is $25,000. You also remain responsible for Pakistani tax on your income.
